1. About CORIT
These Terms of Service ("Terms") govern your use of the CORIT website and the services provided by CORIT ("CORIT", "we", "us", or "our").
CORIT provides digital development and technology services, including web design and development, custom software, SaaS and web applications, mobile applications, AI and automation solutions, API development and integrations, WordPress development, technical consulting, technology strategy, architecture, performance and scalability work.
Specific services, deliverables, timelines, fees, and responsibilities for a project will be established through a proposal, statement of work, service agreement, or other written agreement between CORIT and the client.
Where a signed agreement or statement of work conflicts with these Terms, the specific written agreement will generally govern that project.
2. Website Use
You may use the CORIT website for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the website for unlawful purposes.
- Attempt to gain unauthorized access to the website or its systems.
- Interfere with the operation or security of the website.
- Introduce malicious software, code, or other harmful material.
- Copy, reproduce, or redistribute website content without permission.
- Attempt to reverse engineer or exploit any part of the website.
- Use automated systems to scrape or collect website content in a manner that interferes with the website.
CORIT reserves the right to restrict or terminate access to the website where reasonably necessary to protect the website, its users, or its business.
3. Project Engagements
A project begins when CORIT and the client have agreed in writing to the applicable scope of work, pricing, and other material project terms.
Depending on the project, this may be documented through:
- A proposal
- Statement of work
- Service agreement
- Contract
- Written email agreement
- Other written project documentation
A project may include specific requirements regarding:
- Scope
- Deliverables
- Milestones
- Timeline
- Fees
- Payment schedule
- Revisions
- Client responsibilities
- Hosting
- Maintenance
- Support
- Intellectual property
- Third-party services
CORIT will perform services in accordance with the agreed project scope.
Requests outside the agreed scope may constitute additional work and may require a change order, revised estimate, or additional fee.
4. Scope Changes
Changes to project requirements after work has begun may affect the project's timeline, cost, or deliverables.
Examples of scope changes include:
- New functionality
- Additional pages or screens
- New integrations
- Changes to previously approved designs
- Additional revisions
- Changes to technical requirements
- New platforms or environments
- Significant changes to business requirements
CORIT will communicate material scope changes and, where appropriate, provide an updated estimate or proposal before performing additional work.
5. Client Responsibilities
Successful projects require timely collaboration between CORIT and the client.
The client is responsible for providing information, content, credentials, approvals, feedback, and other materials reasonably necessary to complete the project.
This may include:
- Branding assets
- Copy and content
- Images and media
- Product information
- Technical requirements
- Account credentials
- API credentials
- Hosting access
- Third-party service access
- Legal or regulatory requirements applicable to the client's business
- Timely feedback and approvals
CORIT is not responsible for delays caused by the client's failure to provide required materials, information, approvals, or access.
6. Payments
Project fees and payment schedules will be established in the applicable proposal, statement of work, or agreement.
Unless otherwise agreed in writing:
- Invoices are payable according to the payment terms stated on the invoice.
- Work may be paused if invoices become overdue.
- Additional work outside the agreed scope may result in additional charges.
- Third-party costs may be billed separately.
Third-party costs may include, for example:
- Hosting
- Domains
- Software subscriptions
- API usage
- Plugins
- Premium themes
- Design assets
- Email services
- Cloud infrastructure
- App store fees
- AI or model usage fees
CORIT will not be responsible for third-party fees unless expressly agreed in writing.
7. Late Payments
If an invoice remains unpaid after its due date, CORIT may suspend work or services until the account is brought current.
Suspension of services may affect project timelines and delivery dates.
CORIT may also require outstanding balances to be paid before resuming work or delivering certain project assets.
Any applicable interest or collection costs will be handled in accordance with the applicable agreement and applicable law.
8. Project Timelines
CORIT will make reasonable efforts to meet agreed project timelines.
However, timelines may depend on:
- Client feedback
- Client approvals
- Availability of required materials
- Third-party services
- Hosting providers
- API providers
- App stores
- External vendors
- Changes to scope
- Technical issues outside CORIT's reasonable control
Unless expressly stated otherwise in writing, project timelines are estimates and are not guarantees of a specific launch date.
9. Revisions and Approvals
Where applicable, the project agreement will specify the number of revisions included in the project.
The client is responsible for reviewing and approving deliverables in a timely manner.
Once a deliverable has been approved, subsequent changes may be treated as additional work if they fall outside the agreed scope.
10. Intellectual Property
Unless otherwise stated in a written agreement, intellectual property ownership will be handled according to the applicable project agreement.
Generally, client-specific deliverables created specifically for a project may be transferred to the client following payment in full, subject to any exclusions identified below.
CORIT may retain ownership of:
- Pre-existing code
- Reusable components
- Frameworks
- Development tools
- Libraries
- Templates
- General-purpose code
- Internal systems
- Development methodologies
- Know-how
- Processes
- Concepts that are not unique to the client's project
Where reusable CORIT technology is incorporated into a project, the client receives the rights necessary to use the completed project, subject to the applicable agreement.
11. Third-Party Software and Services
Projects may rely on third-party platforms, services, APIs, libraries, plugins, hosting providers, or software.
Examples include:
- WordPress
- Vercel
- Render
- Cloud platforms
- Payment providers
- OpenAI or other AI providers
- Google services
- Social platforms
- CRM systems
- Analytics platforms
- App stores
- External APIs
CORIT does not control third-party services and cannot guarantee their continued availability, functionality, pricing, policies, or compatibility.
Changes, outages, restrictions, or discontinuation of third-party services may require changes to a project and may result in additional work or costs.
12. AI-Powered Services
Some CORIT projects may incorporate artificial intelligence, machine learning, large language models, automated decision systems, or other AI technologies.
AI-generated output may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose.
Clients are responsible for reviewing AI-generated or AI-assisted outputs before relying on them for business, legal, financial, medical, operational, or other consequential purposes.
CORIT does not guarantee that AI-generated output will always be accurate or error-free.
Clients are responsible for ensuring that their use of AI systems complies with applicable laws, regulations, contractual obligations, and third-party terms.
13. Security
CORIT will take reasonable measures appropriate to the agreed project scope to develop and maintain secure software.
However, no website, application, infrastructure, or internet-connected system can be guaranteed to be completely secure.
Security may depend on factors outside CORIT's control, including:
- Hosting providers
- Third-party services
- Client credentials
- Client infrastructure
- User behavior
- Third-party vulnerabilities
- Software dependencies
- Operating systems
- External APIs
Clients are responsible for maintaining appropriate access controls and protecting their credentials.
14. Hosting and Infrastructure
Unless expressly included in a project agreement, hosting and infrastructure services are not automatically included in CORIT development services.
Where CORIT assists with hosting or deployment, the client remains responsible for third-party hosting charges and applicable infrastructure costs unless otherwise agreed.
Infrastructure costs may change based on usage.
15. Maintenance and Support
Unless expressly included in a service agreement, ongoing maintenance, monitoring, support, updates, and technical assistance are not included after project completion.
Maintenance services may include:
- Software updates
- Security updates
- Bug fixes
- Performance improvements
- Content updates
- Infrastructure management
- Monitoring
- Feature development
Ongoing services may be provided under a separate maintenance agreement or retainer.
16. Warranties and Bug Fixes
CORIT will make reasonable efforts to correct defects in deliverables that materially fail to conform to the agreed project specifications.
Unless otherwise agreed in writing, this does not include:
- New functionality
- Changes to requirements
- Third-party service failures
- Problems caused by modifications made by others
- Problems caused by unsupported environments
- Issues caused by client-provided code or content
- Changes to external platforms or APIs
- Features not included in the original scope
Any specific warranty or support period will be established in the applicable project agreement.
17. Client Content
The client is responsible for ensuring that content, materials, data, trademarks, images, documents, software, and other materials provided to CORIT may legally be used for the project.
The client represents that they have the necessary rights and permissions to provide those materials.
CORIT is not responsible for claims arising from client- provided materials unless otherwise agreed in writing.
18. Confidentiality
CORIT will treat confidential client information shared in connection with a project as confidential and will use it only as reasonably necessary to provide the agreed services, subject to applicable law and any separate confidentiality agreement.
Confidential information does not generally include information that:
- Is publicly available
- Was already lawfully known
- Is independently developed
- Is lawfully received from another source
- Must be disclosed by law
Where a project requires additional confidentiality obligations, the parties may enter into a separate NDA or confidentiality agreement.
19. Portfolio and Marketing Use
Unless otherwise agreed in writing, CORIT may identify completed projects as part of its portfolio and marketing materials.
This may include displaying:
- The client's name
- The project name
- Screenshots
- Publicly available project information
- Links to publicly accessible websites
CORIT will not intentionally disclose confidential information as part of portfolio materials.
Clients may request that specific confidential projects or information not be publicly displayed, subject to any separate agreement between the parties.
20. Cancellation and Termination
Either party may terminate a project in accordance with the applicable project agreement.
If a project is terminated:
- The client remains responsible for fees for work completed up to the termination date.
- Approved third-party expenses remain payable.
- Deposits or advance payments will be handled according to the applicable agreement.
- Any completed deliverables will be handled according to the applicable intellectual property and payment terms.
CORIT may suspend or terminate services where there is a material breach of the applicable agreement, including persistent non-payment.
21. Disclaimer
The CORIT website and its content are provided on an "as available" basis.
CORIT does not guarantee that the website will always be:
- Available
- Error-free
- Secure
- Accurate
- Complete
- Free of interruptions
Information published on the website is provided for general informational purposes and does not constitute legal, financial, accounting, medical, or other professional advice.
22. Limitation of Liability
To the maximum extent permitted by applicable law, CORIT will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the website or services.
This may include losses relating to:
- Lost profits
- Lost revenue
- Lost business opportunities
- Lost data
- Business interruption
- Loss of goodwill
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
Any project-specific limitation of liability will be governed by the applicable project agreement.
23. Indemnification
To the extent permitted by applicable law, the client agrees to indemnify and hold CORIT harmless from claims, damages, liabilities, costs, and expenses arising from:
- Client-provided content
- Client-provided materials
- Client's unlawful use of a project
- Client's violation of third-party rights
- Client's violation of applicable laws
- Client's misuse of software or services
This section does not apply to the extent a claim results from CORIT's own negligence, willful misconduct, or other conduct that cannot legally be excluded.
24. Privacy
CORIT may collect and process personal information in connection with website inquiries, project communications, and service delivery.
Personal information will be handled in accordance with CORIT's Privacy Policy.

25. Changes to These Terms
CORIT may update these Terms from time to time.
When changes are made, the "Last Updated" date at the top of this page will be updated.
Continued use of the website after updated Terms are published constitutes acceptance of the updated Terms to the extent permitted by applicable law.
Changes to terms governing an existing client project will not automatically modify the terms of an existing signed agreement.
26. Governing Law
These Terms will be governed by the laws applicable in the jurisdiction where CORIT operates, without regard to conflict-of-law principles.
For project-specific engagements, the applicable agreement may specify a particular governing law and jurisdiction.
27. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where possible.
The remaining provisions will continue to apply.
28. Entire Agreement
These Terms, together with any applicable proposal, statement of work, service agreement, NDA, or other written agreement between CORIT and the client, constitute the agreement governing the applicable services.
If there is a conflict between these Terms and a specific signed project agreement, the specific project agreement will govern to the extent of the conflict.
